Policies, Procedures & Rules of Conduct

The rules and regulation of AG•Genesis are not set forth to restrict the freedom of distributors in conducting their business but to safeguard their interests, rights, benefits and to instill responsibilities. Distributors should understand that by complying with the policies, procedures and rules of conduct, it demonstrates that they are a responsible and an ethical person. Conversely, non-compliance will result in the damage of your own reputation and that of the company and the Direct Selling industry. Hence, the company reserves the right to terminate the distributorship of any distributor who does not comply with the company’s rules and regulation.

The company reserves the right to amend, add or delete any of the following policies without prior notice or explanations:

1. Application for Distributorship

    1. Any person, age 18 or above, are eligible to apply for AG•Genesis distributorship.
    2. The company has the right to reject any application without any explanation.
    3. AG•Genesis distributors are not employees, agents or representatives of the company.
    4. The applicant’s sponsor must be an existing distributor of the company.
    5. The right to the distributorship solely belongs to the distributor and should not be shared with any other person except his/her spouse.
    6. All applicants must complete and submit a distributor application form with a fee of RM50.00 (West Malaysia) or RM55.00 (East Malaysia) or the amount fixed by the company for the respective countries for the purchase of AG•Genesis Starter Kit.
    7. Should an applicant decide not to pursue the distributorship; he/she may return the Starter Kit in its original marketable condition to the company for a full refund within a cooling-off period of 90 days.

2. Application from Corporate

    1. Corporate, organisation, cooperative and/or trust applying for distributorship with AG•Genesis must also undergo similar process in lieu of the standard individual Distributor Application Terms and Conditions. This application must be assigned with an authorised officer appointed by the corporate, partnership and/or trust whereby such appointment must be duly signed by the Board of Directors, Partners, and/or Directors of Trustees respectively, with copy of the said application attached to the Distributor Application Form or mailed to AG•Genesis, and will become the binding Distributorship agreement for such entity.
    2. Distributorship application from corporate must submit a certified copy of corporate registration, list of names and ID numbers of Board of Directors and shareholders, and a copy of company resolution approving the said application to enroll with AG•Genesis and the appointment for an authorised officer to represent the corporate in all business matters with AG•Genesis and is not obligated to entertain other Directors, shareholders and/or officers of the corporate in all or any matter relating to its Distributorship with AG•Genesis.
    3. Distributorship application from Trust must submit a certified copy of the Trust registration and list of names and ID numbers of Trust Managers and/or Trustees pertaining to AG•Genesis’s Distributorship application and an authorisation letter appointing an officer to act on behalf of the Trust in all matters with AG•Genesis and AG•Genesis is not obligated to entertain other members of the Managers and/or Trustees of the Trust in all or any matter relating to its distributorship with AG•Genesis.
    4. Distributorship application from Organisation/Cooperative must submit a certified copy of the Organisation/Cooperative registration and list of office bearers and letter of consensus from the authorised officer bearers and letter appointing an authorized person to act on behalf of the Organisation/Cooperative in all matters with AG•Genesis and AG•Genesis is not obligated to entertain other members of the said Organisation/Cooperative and/or office bearers in all or any matters relating to its Distributorship with AG•Genesis.
    5. It is the duty of the Corporate, Organization, Cooperative and/or Trust to up date and/or inform AG•Genesis on changes of officers, Board of Directors, Trust Manager, and office bearers from time to time, inclusive of changes in the Corporate, Organization and/or Trust’s Articles of Association, policies, rules and regulation, and any other legal issues relating to the said distributorship with AG•Genesis. Failure to declare new updates would result in disciplinary action to be taken against the said distributor.

3. Bonus Payment

    1. The calculation of bonus payment is based on the Business Value (BV) of AG•Genesis products.
    2. The bonus payment shall be paid to distributors between the 15th - 20th day of the following month.
    3. Upon receiving the monthly bonus statement, the distributor should immediately check for discrepancies or errors and report within FOURTEEN (14) days from the issued date of the statement. Beyond this period, the company will not bear any responsibility.
    4. All cash bills (purchase receipts) that do not bear the distributor’s ID number will not be included in the monthly statement.
    5. The bonus payment of amount below RM50.00 or the amount fixed by the company shall be paid by cash voucher; above RM50.00 or the amount fixed by the company shall be paid by cheque.

4. Responsibility of A Distributor in Promoting Products

    1. An AG•Genesis distributor shall be honest in promoting AG•Genesis products and marketing plan and must not resort to profiteering. Do not conceal, do not over claim and do not mislead.
    2. An AG•Genesis distributor shall explain clearly to his/her customers that the company’s marketing plan is based on the sales of products and does not depend on unrealistic means to profiteering. Hence, a distributor must work hard in promoting the sales of products in order to make profits and develop a viable sales network.
    3. A distributor shall not alter the contents of AG•Genesis product catalogue, misrepresent the specifications or overstate the value and quality of any products. A distributor shall be held responsible and must compensate the company for any damage to its reputation or financial losses arising from legal actions taken on such malpractices.
    4. A distributor shall promote AG•Genesis products according to the company’s written specifications. He/she is not permitted to amend or overstate the facts.
    5. A distributor shall not over state or over claim that AG•Genesis products “can cure” any disease.

5. Product Display and Packaging

    1. A distributor is not permitted to repackage or add trademarks to AG•Genesis products.
    2. AG•Genesis products must be sold in its original packaging.
    3. A distributor shall not display or sell its products at any exhibitions or trade fairs unless prior approval is obtained from the company.

6. Product Pricing

    1. A distributor shall not engage in price undercutting or overcharging customers. This is an unethical conduct and the company reserves the right to terminate the distributorship or take legal action against the offender.
    2. A distributor shall not organise his/her own sales promotion or make special offers for products, unless written approval is obtained from the company.

7. Advertisement and Use of Trademarks

    1. A distributor is not allowed to advertise AG•Genesis products or its marketing plan, unless he/she uses the exact wordings found in the Starter Kit or written approval is obtained from the company.
    2. A distributor is not allowed private use of the name and registered trademarks of AG•Genesis or any symbol representing AG•Genesis or its products except for printed materials provided by the company or a written permission has been given by the company.
    3. When a distributorship is terminated or cancelled, the distributor shall:
      • Stop using AG•Genesis’s business name, trademarks or symbols.
      • Stop using any policy, symbol, trademark and any printed material related to AG•Genesis products
    4. A distributor is not allowed to publish AG•Genesis products or any marketing information related to AG•Genesis products in his personal website or other website.
8. Responsibility of A Distributor
    1. A distributor is not allowed to use the word “employee” or “agent” of AG•Genesis in his/her personal printed materials.
    2. A distributor is not allowed to claim that he/she owns or has the right of distributorship to any region.
    3. A distributor shall be familiar with the Direct Sales Act 1993 of Malaysia or the legislations / acts governing the direct sales industry of the respective country.
    4. A distributor shall keep records of his/her annual income for report to the inland
      revenue authority and pay his/her own income tax.
    5. A distributor shall not participate in pyramid selling or stock up inventory for the
      purpose of gaining higher bonus or promotion.
    6. Upon closing a transaction, the distributor shall present a customer receipt to the customer.
    7. With regard to complaints related to the use or misuse of products, a distributor must endeavour to offer an explanation but has no right to represent AG•Genesis in offering its product’s guarantee buy back policy as a solution.
    8. Distributor shall foster friendship and harmony among each other and help to promote the culture of loving and caring and team spirit.

9. Cancellation /Termination / Death of Distributor

    1. If a new distributor is unable to purchase 100BV worth of products within 12 months, his/her distributorship will be automatically cancelled. A new application is required if he/she intends to continue his/her distributorship.
    2. A distributor is a qualified distributor as long as he/she maintains a Personal Sale of 100BV within every SIX (6) months. The company however reserves the right to terminate any distributorship if a distributor infringes or violates the rules or any term thereof.
    3. Any distributor who does not comply or found to have violated any policy, procedure and rules of conduct, AG•Genesis reserves the right to cancel or terminate his/her distributorship and seek compensations through legal actions.
    4. A distributor may write to notify his/her intention to terminate his/her distributorship, in
      this case, his/her downlines will be automatically transferred to his/her upline or sponsor.
    5. A distributor who voluntarily terminates or is terminated by the company may reapply
      for distributorship SIX (6) months later. The company reserves the right to approve or reject
      his/her application.
    6. A distributor, who has terminated his/her distributorship, he/she is not allowed to engage
      in any direct selling activities organized by AG•Genesis within SIX (6) months after
      termination or cancellation of his/her distributorship.
    7. Upon termination or cancellation of distributorship, a distributor is no longer entitled to
      any privilege or benefit that he/she enjoyed previously.
    8. A distributor who was previously terminated and successfully reapplied to be a
      distributor will no longer be entitled to the rights and bonuses of his/her previous
      downlines. He/she has to redevelop a new network.
    9. In the event of death or disability of a distributor, which prevents the distributor from
      performing his/her distributorship duties, AG•Genesis will transfer his/her network and all benefits to the person appointed by him/her as the legal beneficiary.
    10. The company has the right to terminate any distributorship at any position, if he/she is involved in dealings with another multi level marketing or direct selling company.

10. Sponsorship Rules

    1. A distributor is not allowed to change sponsor, AG•Genesis will also not process application submitted by a single party. Under special circumstances, an application should be submitted in three copies, of which two are from the distributors’ direct upline and one from the distributor. The company will consider the application but reserves its right to approve or reject.
    2. A distributor is allowed to maintain only ONE (1) account. The company has the right to cancel any other account maintained by a distributor.
    3. Distributor who voluntarily terminates his/her account can reapply to be a distributor SIX (6) months later.
    4. A distributorship has no expiry date. A distributor has to maintain a sales value of 100BV for a 6-month period in order to be an approved distributor.
    5. The spouse of a distributor can be sponsored to be a distributor. The sponsor must be his wife or her husband and is not allowed to be sponsored into another group.
    6. If TWO (2) distributors get married to each other, they can select to:
      • Maintain their respective groups of downlines independently.
      • Give up one of the distributorship to jointly operate a single distributorship. In this case, the abandoned group of downlines will continue with its original operation.
    7. In the event of a divorce, a joint distributorship will then be settled in accordance with their divorce agreement or the court’s ruling.
    8. If any distributor is found to violate any of the above rules and regulation, AG•Genesis will seek appropriate actions or negotiations to return the benefits to the distributor or to his/her upline.

11. Transfer or Sell off Distributorship

AG•Genesis does not encourage the transfer or sell off distributorship to prevent distributors from seeking personal benefits. However, when deem necessary, a distributor shall abide by the following rules:

    1. Distributors who are Diamond Manager and above and with good records are eligible to transfer or sell their distributorship. Those intending to do so shall apply in writing to the company. The company reserves the right to approve or reject any transfer or sales application.
    2. Below is the order of priorities for sell off distributorship:
      1. First priority: Sponsor of the distributor
      2. Second priority: Upline of the distributor in ascending order of the network.
      3. Third priority: A downline Manager of the distributor.
      4. Fourth priority: Distributor of managerial level and above.
    3. An approved sell off should be followed by an agreement signed by the buyer and seller, duly stamped and submitted to the company for filing.
    4. distributor who has sold his/her distributorship may reapply to be a distributor one year later, effective from the date of sell off.
    5. Effective from the date of sell off, all benefits accrued to the account shall be transferred to the buyer, including previous awards and recognitions to the distributorship.
    6. AG•Genesis will monitor such transactions stringently to prevent violation of important policies.
    7. AG•Genesis reserves the right to approve or reject any transfer or sales of distributorship.

12. Waiver

    1. In the event that AG•Genesis does not exercise its rights in time to act on its policies, procedures and rules of conduct or distributorship application, it shall not constitute waiver of rights to act. Only a written notice from the authorised person of AG•Genesis to a distributor constitutes a waiver of rights to pursue the matter.

13. Disputes

    1. In the event that two distributors claim to be the sponsor of a new distributor, the first application received by the company shall be considered as the legitimate application.
    2. The company does not approve of ‘poaching’. Poaching refers to the recruitment of distributors from another group or sponsoring the spouse of a distributor who belongs to another group.

14. Amendments

    1. AG•Genesis reserves the right to add, delete or amend without prior notice, the above rules as and when deems appropriate or necessary.
